By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. The Tivora Systems platform is an operations and workflow management tool. It is not an email marketing platform. The platform's email capabilities are strictly limited to transactional, system-generated notifications directly related to registered user account activity. Customers may not use the Service to send commercial, promotional, or marketing emails to any audience.
Any use of the Tivora platform to send unsolicited email, or any misuse of our transactional email infrastructure, is a material breach of these Terms and will result in immediate account termination and referral to relevant authorities. Report abuse to abuse@tivorasystems.us.
The Service, including all software, design, text, graphics, logos, and other content, is owned by Tivora Systems, Inc. and protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or sublicense any part of the Service.
You retain all ownership rights to the data and content you upload to the Service ("Customer Data"). You grant Tivora Systems a limited license to process Customer Data solely for the purpose of providing the Service.
Access to certain features of the Service requires a paid subscription. Billing occurs on a monthly or annual basis as selected at the time of purchase. All subscription fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' prior written notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
Tivora Systems will use commercially reasonable efforts to ensure the Service is available 99.9% of the time in any given calendar month ("Uptime Commitment"), excluding scheduled maintenance windows of which users will receive advance notice. Our SLA credits, where applicable, are limited to subscription fee credits and do not include indirect, consequential, or other damages.
To the maximum extent permitted by applicable law, Tivora Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising out of or related to your use of the Service, even if Tivora Systems has been advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the fees paid by you to Tivora Systems in the twelve (12) months preceding the claim.
Either party may terminate this agreement at any time. You may cancel your subscription through your account dashboard or by contacting support@tivorasystems.us. We may suspend or terminate your account immediately for material breach of these Terms, including violations of the Acceptable Use Policy. Upon termination, your right to access the Service ceases and we will delete your data in accordance with our Privacy Policy.
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Arlington County, Virginia, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality violations.
We may update these Terms from time to time. Material changes will be communicated to registered users via a platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
